General Terms and Conditions (GTC)

§1 General

1.1 The general terms and conditions apply to all business transactions between Teckstudio (owner Dipl.-Ing. Arnim Anhut), hereinafter referred to as Teckstudio, and the client, hereinafter referred to as the customer. They are considered agreed upon with acceptance of the delivery or service or the offer of Teckstudio Kirchheim by the customer. If the customer wishes to object to the GTC, this must be done in writing within three working days. Deviating conditions of the customer do not become valid; an express objection on the part of Teckstudio Kirchheim is therefore not required. The GTC apply within the scope of an ongoing business relationship without explicit inclusion also to all future orders, offers, deliveries, and services of Teckstudio.

1.2 If no specific binding period is stated, our offers are non-binding and without obligation.

1.3 Orders placed become legally valid through a written order confirmation from us. Agreements on changes and additions are ineffective until they are fixed in writing and confirmed or signed by both contracting parties.

1.4 The Teckstudio price list is an essential part of these general terms and conditions. Any deviations are only valid if they have been confirmed by us in writing.

1.5 Changes and additions to a contract between the client and Teckstudio require the written form signed by both parties.

1.6 A contract between Teckstudio and the customer does not necessarily require written form to come into effect. Oral promises made by both parties regarding the agreed scope of services are binding. The burden of proof lies with the customer in case of doubt.

1.7 The place of performance and fulfillment for delivery and payment is the registered office of Teckstudio, Alleenstr. 18, 73230 Kirchheim unter Teck.

1.8 The place of jurisdiction is Kirchheim unter Teck. As far as the customer is not a fully qualified merchant or does not have a general place of jurisdiction in the country, the jurisdiction for the dunning procedure is agreed to be the Kirchheim District Court. Only German law applies.

1.9 Should a provision of this contract be or become legally ineffective, the validity of the remaining provisions shall not be affected. The invalid provisions shall be replaced by a regulation that comes closest to the mutual interests of the contract's content. The same applies to any gaps in regulation.

§2 Invoicing and Payment Conditions

2.1 All prices include the statutory value-added tax.

2.2 Invoices are collected monthly and - unless the customer requests the invoice earlier - automatically sent by e-mail to the e-mail address known to Teckstudio at the end of the month.

2.3 If an e-mail cannot be delivered due to incorrect/ outdated information, a full inbox, or other reasons, this has no influence on the due date and payment terms. It is the customer's responsibility to ensure receipt of the e-mail, to report address changes to Teckstudio immediately, and to check their mailbox regularly.

2.4 If the customer wishes separate billing for a rental (for example to a third party), they must note this at the time of rental by providing a complete, legally valid billing address on the rental slip. Retroactive changes to invoices are not possible.

2.5 If the customer wishes mailing invoices, they must register this in writing. The resulting additional costs for postage and shipping will be charged to the customer at 2 euros per shipment. A change between electronic and postal delivery is possible at any time.

2.6 Invoices are deemed acknowledged after a period of 5 days from the invoice date. Any complaints about invoices do not affect the due date of the amounts invoiced.

2.7 All payments must be made free of postage and fees within 7 days of the invoice date at the business premises of Teckstudio or transferred to one of the accounts specified in the invoice.

2.8 In case of late payment, default interest of 10% as well as any incurred reminder fees are to be paid without deductions. The assertion of further rights due to delay damages is not affected by this. The customer's right of set-off and retention is expressly excluded.

§3 Reservations and Cancellations

3.1 After written booking and booking confirmation by Teckstudio via e-mail, the studio/the rental item is considered firmly booked.

3.2 Firm bookings can generally be canceled. Depending on the period between cancellation and the reserved date, cancellation fees apply. The current cancellation fees and the exact cancellation policy can be viewed by the customer at any time on the Teckstudio homepage. The customer undertakes to check the regulations for changes before making a reservation. With the reservation by the customer, the current cancellation rules are deemed accepted.

§4 Workshop Regulations

4.1 Teckstudio occasionally holds workshops, sharings, training sessions, and other events. Customers can request a seat reservation for these events directly online and without obligation and will receive a registration offer via e-mail from Teckstudio - subject to availability of free seats. To accept the offer, a simple e-mail response from the customer is sufficient - the registration is now binding (double opt-in).

4.2 If the customer does not firmly reserve their place within 24 hours, Teckstudio is free to offer the available place to another participant.

4.3 If the customer cancels their reservation, cancellation fees apply depending on the timing of the notice. If cancellation occurs less than 14 days before the scheduled workshop date, costs equal to 20% of the workshop fee are incurred. For a cancellation less than 7 days before the date, costs of 50% of the workshop fee apply. For a cancellation less than 3 days before the workshop date, the full workshop cost is charged (see also 4.4).

4.4 Workshop participation is freely transferable and not personal. The obligation to pay the workshop fee remains with the original customer in any case.

4.5 If a workshop is canceled due to model or instructor absence, under-enrollment, or other reasons, the customer has no claim to compensation.

§5 Rental of Premises and Technical Equipment

5.1 Teckstudio rents to the customer the premises and/or equipment specified in the order confirmation for the stated period.

5.2 The customer must identify themselves to Teckstudio by presenting a valid identity card or passport. Teckstudio is entitled to retain the customer's personal data in its records or store it on electronic media to clarify any subsequent claims. Teckstudio commits to complying with all relevant data protection regulations. Any transfer of the data to third parties - even in part - is not permitted.

5.3 The customer bears the insurance obligation and confirms by taking over the rental items that they have valid liability insurance in the event of damage or alternatively will cover all resulting damages from their own funds.

5.4 Smoking is prohibited throughout the building.

5.5 Granted rental options can be revoked by Teckstudio at any time; no liability claim on our part exists.

§6 Premises and Rental Items

6.1 In the following, references to the studio premises (short: studio) refer to the core rooms photo studio, studio lounge, and decoration storage. All adjacent rooms are only part of the rental agreement after special written agreement. Use of the toilets is allowed in the usual scope without special agreement.

6.2 During the entire stay in Teckstudio’s premises, the customer must ensure not to disturb regular studio operations. In particular, they must inform any associated third parties of this regulation and monitor their compliance. Disturbances include, for example, excessively loud music, blocking the entrance area or corridors, or inadequately clothed persons outside the studio.

6.3 Except for expressly surchargeable equipment, all studio technology and available decoration are included in the studio rental. Surchargeable equipment is marked accordingly. The renter may use these at their discretion.

6.4 All rental items remain the property of Teckstudio. The customer must independently inform third parties of Teckstudio's ownership without being asked. The right to use the rental items is granted exclusively to the customer. Re-rental or transfer to third parties is prohibited. The customer must ensure that contractual obligations are observed by all third parties acting for them and their visitors.

6.5 The items rented by the customer may not be altered and may generally only be used within Germany. When used outside the studio, all items are only handed over against a receipt voucher.

6.6 The customer undertakes to treat the rented items and premises with care and not to subject them to excessive, inappropriate, or unsuitable stress. The rented items or premises may only be used for their intended purposes. Any alteration to the premises or equipment by the customer is prohibited; the corresponding costs to restore the original condition will be charged to the customer.

6.7 Teckstudio retains house rights in all rooms provided to the customer. All employees or persons commissioned by them may enter and remain in the rooms at any time. Access to the studio rooms must not be blocked or denied by the customer at any time. Nevertheless, Teckstudio grants the renter "peace and quiet" in the studio rooms. The studio rooms will only be entered in an emergency (e.g., smell of smoke) or after express notification by the studio supervisor - the customer has no legal claim to this courtesy and cannot enforce the regulations or claim damages.

6.8 The use of materials and aids that could cause damage or contamination to the studio rooms and equipment or endanger people (e.g., dust/ flour/..., flammable liquids, open fire, water and explosion shots) is prohibited. In exceptional cases, written permission from the studio supervisor is required. The customer is liable for all resulting damages even then.

§7 Start and End of the Rental Period

7.1 The customer must verify the proper condition of the rooms and rental items at the beginning of the rental period. If defects or shortages are not reported immediately, the rooms and rental items are deemed properly and completely taken over.

7.2 The lessor prepares a return protocol for the rented items or rooms together with the renter when taking them back. If the renter waives participation in the handover protocol of the rented equipment or rooms at the end of the rental, the renter acknowledges the check carried out by the lessor. No further confirmation is required.

7.3 The rental begins with entering the studio premises, but no later than the start time agreed according to the reservation. The rent is calculated according to the Teckstudio price list valid at the time of reservation. Use beyond the reserved time may - after consultation and agreement by the studio supervisor - take place and will be charged at the regular hourly rate according to the price list - the customer has no legal claim to this. For subsequent appointments, the customer must leave the studio completely cleaned at least 15 minutes before the next appointment.

7.4 Billing is done in minute increments. The shortest possible rental duration is 75% of the time reserved by the customer, but at least 60 minutes.

7.5 After termination of use, the customer is obliged to return all rental items to their original condition - this particularly applies to the studio premises and the decoration storage. If necessary, all rented items will be restored to their original condition by Teckstudio at the customer's expense. In case of contamination of the premises or props beyond normal levels, cleaning will be charged to the customer based on effort.

7.6 Billing usually takes place immediately after use. If billing is done by invoice, it will be done monthly as a collective invoice at the end of the month. Deviations require Teckstudio's written confirmation.

§8 Special Services

8.1 Use of services such as image processing, photo assistance, set construction, casting, styling, props, catering, hotel, ... can be agreed upon but are billed separately and are not included in the room rental.

8.2 Services and materials provided by third parties for the customer are billed with a 15% handling surcharge.

8.3 The lessor assumes no warranty for services of models, actors, other freelancers, and subcontractors. These are self-liable entrepreneurs within the scope of their activity.

§9 Customer Liability within the Rental Relationship

9.1 The risk for the rental item and items taken over passes to the customer upon delivery. The same applies to transport and shipping risk if transport and shipping are carried out in the customer's name.

9.2 The customer is liable for the completeness and integrity of the rental item and fully liable for all material and personal damage arising directly or indirectly in connection with the use of the rented equipment and rooms (damage to equipment due to improper handling, external influences, theft, etc.) and resulting consequential damages (loss of use). Excluded are damages caused by intent or gross negligence of the lessor as well as wear and tear damages.

9.3 The customer is responsible for complying with all official regulations and requirements (in particular accident and fire prevention regulations) and for adhering to the strict no-smoking policy in the rooms of Teckstudio.

9.4 During the rental period, repairs that become necessary (except for bulb and fuse changes on rented equipment) may only be carried out by authorized contract service technicians and are at the customer's expense. The customer also undertakes to report any damage that occurs during the rental period immediately.

9.5 Items not returned, damaged, or destroyed must either be replaced by the customer at their own expense with equivalent items at Teckstudio's choice or will be charged to the customer at the daily rate. Damage to the rental premises will, at Teckstudio's choice, either be remedied by the customer themselves or charged to the customer.

9.6 The customer undertakes not to perform any actions that infringe the rights of third parties (in particular copyrights). Any damages or claims arising from this are the responsibility of the customer. This liability of the customer also applies to damages caused by third parties.

9.7 The customer bears the duty of traffic safety in the area of the rental item provided to them.

9.8 The customer is responsible for securing the premises. In particular, they must ensure at all times that the entrance door is properly locked.

9.9 Under no circumstances and at no time is the customer (and persons associated with them) permitted to grant access to third (unauthorized) persons to the studio. If people are admitted contrary to this regulation, the customer is fully responsible and liable for those persons.

9.10 If the customer fails to comply with the obligations under §9, they are fully liable for all resulting damages and consequential damages.

§10 Liability of Teckstudio

10.1 The customer takes over the premises and technical equipment in the condition in which they are at the time of handover.

10.2 Teckstudio assumes no liability for the fact that premises or technical facilities meet the official or other requirements of the intended use. The customer must inform themselves about the relevant regulations and ensure compliance.

10.3 Teckstudio's liability for any kind of damage that occurs due to the use or failure of the rental item is excluded.

10.4 Teckstudio assumes no liability for any items of any kind that the customer has brought into the rented rooms and does not provide any insurance coverage for them.

10.5 The renter indemnifies Teckstudio from all third-party claims that may be made against Teckstudio in connection with the rental agreement. If equipment or parts of equipment become damaged or unusable during use despite proper use (wear parts), Teckstudio will make every effort to provide a replacement as quickly as possible. If replacement procurement is not possible, both parties have the right to extraordinary termination. Teckstudio is not liable for consequential damages associated with the early termination of the rental. In particular, the customer may not assert or forward any claims of third parties against Teckstudio.

§11 Termination of the Contract

11.1 Teckstudio is entitled, without observing a notice period and excluding any liability for damages on the part of the customer, to terminate the rental agreement prematurely or to withdraw from the contract if the client suspends payments, has not settled open invoices by the next service date, or if insolvency proceedings are instituted against them.

11.2 A termination without notice of the contract is also possible if the customer acts with gross negligence, endangers operational safety, or violates contractual obligations.
